Terms of Service
The terms that govern your use of ClickReserv, a SebasTN product.
1. Introduction
Welcome to ClickReserv ("Service"), a multi-tenant booking and point-of-sale platform operated by SebasTN ("we," "us," or "our"). By accessing or using ClickReserv, you agree to be bound by these Terms of Service ("Terms").
ClickReserv provides business management tools including online booking and point-of-sale features for service businesses. These Terms govern your use of our platform whether you are a business owner ("Merchant") or a customer making bookings ("Customer").
2. Eligibility
To use ClickReserv, you must be at least 18 years old and capable of forming a binding contract. By using our Service, you represent that you meet these requirements.
Merchants must provide accurate business information during registration and maintain valid business licenses as required by their jurisdiction.
3. Account Registration
To access certain features, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
4. Payment Processing
ClickReserv uses Stripe Connect to process payments. By using our payment features, you also agree to Stripe's Connected Account Agreement and Stripe's Terms of Service.
For Merchants:
- You must complete Stripe's identity verification and provide valid banking information to receive payouts.
- Platform fees are deducted from each transaction as specified in your subscription plan.
- Payouts are processed according to Stripe's payout schedule.
- You are responsible for all refunds, chargebacks, and disputes related to your transactions.
For Customers:
- Payment is processed at the time of booking or purchase.
- Refund policies are set by individual Merchants. Contact the Merchant directly for refund requests.
- We do not store your full payment card details; all payment information is handled securely by Stripe.
Delayed-Settlement Payment Methods (SEPA, ACH, Bacs)
Certain bank-debit payment methods — including SEPA Direct Debit, ACH Direct Debit, and Bacs Direct Debit — take 3–6 business days to settle after checkout and may be reversed by the customer's bank if funds are not available or the authorization is revoked. Merchants may only offer these methods for services or products where fulfillment can safely wait for payment settlement (for example: gift cards, prepaid packages, or bookings scheduled more than ten days out).
- For Merchants:You accept that delayed-settlement payments may bounce. You agree not to fulfill services whose payment status is “pending” in your ClickReserv dashboard. ClickReserv is not liable for services delivered before payment has cleared, nor for any revenue lost to a bounced bank-debit payment. ClickReserv does not collect a platform fee on bounced payments; Stripe automatically refunds the fee when a payment fails.
- For Customers: When paying with a bank-debit method, your booking is held pending payment clearance. You will receive a confirmation email only after funds have settled (typically within 6 business days). If your payment fails, your booking is automatically cancelled and the slot released.
5. Subscription Plans
Merchants may subscribe to paid plans (Starter, Professional, or Enterprise) for access to additional features. Subscriptions are billed monthly and renew automatically unless cancelled.
- You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
- We do not provide refunds for partial billing periods.
- We reserve the right to change subscription pricing with 30 days notice.
6. Acceptable Use
You agree not to use ClickReserv to:
- Violate any applicable laws or regulations
- Process payments for illegal goods or services
- Engage in fraudulent, deceptive, or misleading practices
- Interfere with or disrupt the Service or its infrastructure
- Attempt to gain unauthorized access to other accounts or systems
- Transmit viruses, malware, or other harmful code
- Scrape, harvest, or collect user data without authorization
- Use the Service in any manner that could damage, disable, or impair the Service
7. Intellectual Property
ClickReserv and its original content, features, and functionality are owned by SebasTN and are protected by international copyright, trademark, and other intellectual property laws.
Merchants retain ownership of their business data, including service descriptions, pricing, and customer information, subject to the licenses granted herein.
8. Data and Privacy
Your use of ClickReserv is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.
Merchants are responsible for their own privacy policies and for complying with applicable data protection laws in their interactions with Customers.
9. Disclaimer of Warranties
ClickReserv is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee that the Service will be uninterrupted, error-free, or secure. We are not responsible for any loss of data or revenue resulting from Service interruptions.
10. Limitation of Liability
To the maximum extent permitted by law, SebasTN shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.
Our total liability for any claims arising out of or relating to these Terms or the Service shall not exceed the amounts paid by you to us in the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless SebasTN and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of your use of the Service or violation of these Terms.
12. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including breach of these Terms.
Upon termination, your right to use the Service will immediately cease. Provisions that by their nature should survive termination shall survive.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on our website and updating the "Last updated" date.
Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.
Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in New York County, New York.
